1. Introduction

Welcome to Nexa Nurse.

These Terms and Conditions (“Terms”) govern your access to and use of the Nexa Nurse website, mobile applications available on the Google Play Store and Apple App Store, and all related services (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

2. About Nexa Nurse

Nexa Nurse Limited (“Nexa Nurse”, “we”, “our”, or “us”) is a Nigerian healthcare technology company that operates a digital marketplace connecting individuals, families, healthcare institutions, and corporate organizations (“Clients”) with verified Registered Nurses and Care Assistants (“Healthcare Professionals”) for home healthcare and related healthcare support services.

Nexa Nurse is a technology platform and does not provide medical treatment directly unless expressly stated.

3. Definitions

For these Terms:

• Platform means the Nexa Nurse website, mobile applications, APIs, and related services.
• Client means any person or organization booking healthcare services.
• Healthcare Professional means a Registered Nurse or Care Assistant registered on the Platform.
• Booking means a request for healthcare services made through the Platform.
• Service Fee means the amount payable by the Client for a booked service.
• Platform Fee means Nexa Nurse’s commission for facilitating the booking.
• Wallet means the electronic account used to hold earnings or payments.
• Instant Withdrawal means an expedited payout requested by a Healthcare Professional.
• Escrow means funds temporarily held pending confirmation of service completion.

4. Eligibility

You may use the Platform only if you:

• Are at least 18 years old.
• Have the legal capacity to enter into binding contracts.
• Provide accurate registration information.
• Comply with these Terms and all applicable laws.

Healthcare Professionals must also possess all required professional qualifications, licences, certifications, and registrations applicable to their profession.

5. Account Registration

Users must create an account before accessing certain services.

You agree to:

• Provide accurate and complete information.
• Keep your information updated.
• Maintain the confidentiality of your login credentials.
• Notify Nexa Nurse immediately of any unauthorized access to your account.

You are responsible for all activities conducted through your account.

6. Identity Verification

Nexa Nurse may require identity verification before activating or maintaining an account.

Verification may include:

• Government-issued identification.
• Facial verification.
• Professional licence verification.
• Background checks.
• Verification of contact details.
• Other documentation deemed necessary.

Failure to complete verification may result in account suspension or termination.

7. Healthcare Professional Verification

Healthcare Professionals must provide accurate and valid professional information.

Nexa Nurse reserves the right to verify:

• Nursing licences.
• Professional registrations.
• Employment history.
• Educational qualifications.
• Certifications.
• Criminal background (where legally permissible).
• References.

Providing false or misleading information may result in permanent removal from the Platform.

8. Platform Services

The Platform enables Clients to:

• Search for Healthcare Professionals.
• Book healthcare services.
• Schedule appointments.
• Make secure payments.
• Track bookings.
• Leave reviews and ratings.

Healthcare Professionals may:

• Accept or decline bookings.
• Manage availability.
• Receive payments.
• Withdraw eligible earnings.
• Update professional profiles.

9. Nature of the Relationship

Nexa Nurse acts solely as a technology marketplace facilitating connections between Clients and independent Healthcare Professionals.

Unless expressly agreed otherwise:

• Healthcare Professionals are independent contractors.
• No employment relationship exists between Nexa Nurse and Healthcare Professionals.
• Nexa Nurse is not responsible for tax obligations owed by Healthcare Professionals.

10. Booking Process

A booking is confirmed only after:

• The Client submits a booking request.
• Payment is successfully processed.
• A Healthcare Professional accepts the booking.

Nexa Nurse reserves the right to cancel or reject bookings where necessary.

11. Pricing

Service fees displayed on the Platform may vary based on:

• Service type.
• Duration.
• Location.
• Professional qualifications.
• Availability.
• Emergency requests.

Prices are subject to change without prior notice.

12. Payments

Payments are processed through approved third-party payment providers.

Clients agree to pay:

• The service fee.
• Applicable payment gateway charges.
• VAT and other applicable taxes.

Nexa Nurse does not guarantee uninterrupted availability of any payment provider.

13. Revenue Sharing

For each completed service:

• 85% of the service fee is payable to the Healthcare Professional.
• 15% is retained by Nexa Nurse as the Platform Service Fee.

Nexa Nurse may revise this percentage upon reasonable notice to Healthcare Professionals.

14. Escrow of Funds

Payments made by Clients are held in escrow until the booked service has been completed and confirmed.

Funds become eligible for withdrawal only after:

• The Client confirms satisfactory completion of the service; or
• Nexa Nurse determines that the service was duly completed following an investigation.

15. Weekly Payouts

Healthcare Professionals receive standard payouts once every week, every Friday, subject to:

• Successful service completion.
• Client confirmation or dispute resolution.
• Compliance with these Terms.

16. Instant Withdrawals

Healthcare Professionals may request instant withdrawal of eligible earnings.

A processing fee of 2.5% of the withdrawal amount shall apply.

Nexa Nurse reserves the right to decline or delay instant withdrawals where fraud, technical issues, or compliance concerns exist.

17. Service Disputes

If a Client alleges that a booked service was not delivered or was materially deficient:

• The disputed funds shall remain on hold.
• Nexa Nurse will investigate the matter.
• A decision will ordinarily be issued within seven (7) calendar days.

Both parties agree to cooperate fully with any investigation.

18. Dispute Resolution

Nexa Nurse’s decision following an investigation is intended to resolve disputes efficiently.

If either party is dissatisfied with the outcome, they may pursue legal proceedings before a court of competent jurisdiction at their own cost.

Nothing in these Terms prevents either party from exercising any rights available under applicable law.

19. Cancellations

Clients and Healthcare Professionals may cancel bookings in accordance with Nexa Nurse’s Cancellation Policy.

Repeated cancellations, abuse of the cancellation process, or no-shows may result in penalties, suspension, or termination of an account.

20. User Responsibilities

Users agree to:

• Provide accurate information.
• Treat all parties with respect.
• Comply with applicable laws.
• Maintain confidentiality.
• Refrain from fraudulent conduct.
• Use the Platform only for lawful purposes.

Clients must provide a safe and secure environment for Healthcare Professionals.

Healthcare Professionals must deliver services professionally, ethically, and within the scope of their qualifications.

21. Prohibited Conduct

Users must not:

• Submit false information.
• Circumvent the Platform to avoid payment.
• Engage in harassment, discrimination, or abuse.
• Upload malicious software.
• Attempt unauthorized access to the Platform.
• Misrepresent qualifications or identity.
• Use the Platform for illegal activities.

Violation of this section may result in immediate suspension or permanent termination.

22. Ratings and Reviews

Clients may rate Healthcare Professionals, and Healthcare Professionals may rate Clients where applicable.

Reviews must be honest, accurate, and respectful.

Nexa Nurse may remove reviews that are false, defamatory, abusive, or otherwise violate these Terms.

23. Intellectual Property

All content on the Platform, including software, logos, trademarks, graphics, text, and designs, is owned by or licensed to Nexa Nurse and is protected by applicable intellectual property laws.

No content may be copied, reproduced, modified, distributed, or exploited without prior written permission.

24. Privacy

Your use of the Platform is subject to the Nexa Nurse Privacy Policy, which explains how personal information is collected, used, stored, and protected.

25. Limitation of Liability

To the maximum extent permitted by law, Nexa Nurse shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.

Nexa Nurse does not guarantee uninterrupted access to the Platform and is not responsible for failures caused by third-party service providers, internet outages, or events beyond its reasonable control.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

26. Indemnification

You agree to indemnify and hold harmless Nexa Nurse, its directors, officers, employees, and affiliates from any claims, liabilities, losses, damages, or expenses arising from:

• Your breach of these Terms.
• Your misuse of the Platform.
• Your violation of applicable laws.
• Your infringement of the rights of any third party.

27. Suspension and Termination

Nexa Nurse may suspend or terminate any account, with or without notice, where a user:

• Violates these Terms.
• Commits fraud or attempted fraud.
• Provides false information.
• Engages in abusive or unlawful conduct.
• Poses a risk to the safety or integrity of the Platform or its users.

28. Force Majeure

Nexa Nurse shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, war, civil unrest, government actions, labour disputes, internet failures, or power outages.

29. Changes to the Terms

Nexa Nurse may amend these Terms from time to time.

Updated Terms will be published on the Platform with a revised “Last Updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

30. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

31. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

32. Entire Agreement

These Terms, together with the Privacy Policy and all other applicable Nexa Nurse policies, constitute the entire agreement between you and Nexa Nurse regarding your use of the Platform.
