1. Introduction
This Healthcare Professional Agreement (“Agreement”) governs the relationship between Nexa Nurse Limited (“Nexa Nurse”, “we”, “our”, or “us”) and every Registered Nurse or Care Assistant (“Healthcare Professional”, “you”, or “your”) who registers to provide services through the Nexa Nurse website, mobile applications, and related services (collectively, the “Platform”).
By registering as a Healthcare Professional or accepting bookings through the Platform, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, the Terms and Conditions, Privacy Policy, Payment & Payout Policy, and all other applicable Nexa Nurse policies.
2. Purpose of the Platform
Nexa Nurse is a healthcare technology marketplace that connects verified Healthcare Professionals with individuals, families, healthcare institutions, and businesses seeking home healthcare and related support services.
Nexa Nurse facilitates bookings, payments, verification, and communication but does not employ Healthcare Professionals unless expressly stated in a separate written agreement.
3. Independent Contractor Relationship
By using the Platform, you acknowledge and agree that:
- You are engaged as an independent contractor.
- Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship with Nexa Nurse.
- You are responsible for your own taxes, statutory contributions, insurance, and professional obligations.
- You control how you deliver your services, provided they comply with applicable laws, professional standards, and this Agreement.
4. Eligibility
To register as a Healthcare Professional, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into binding agreements.
- Provide accurate and complete registration information.
- Meet all qualification and licensing requirements applicable to your profession.
- Successfully complete Nexa Nurse’s verification process.
Nexa Nurse reserves the right to reject or suspend any application at its sole discretion.
5. Professional Qualifications
Registered Nurses must maintain a valid professional licence and registration where required by law.
Care Assistants must possess appropriate qualifications, certifications, training, or demonstrable experience relevant to the services they provide.
You agree to maintain all required professional credentials throughout your use of the Platform and promptly notify Nexa Nurse of any suspension, expiry, or disciplinary action affecting your qualifications.
6. Verification Requirements
Before accepting bookings, you may be required to provide:
- Government-issued identification.
- Passport photograph.
- Proof of address.
- Professional licence or registration.
- Educational certificates.
- Employment history.
- References.
- Bank account details.
- Additional documents requested by Nexa Nurse.
Nexa Nurse may conduct identity verification, licence verification, and background checks where permitted by law.
7. Professional Responsibilities
Healthcare Professionals agree to:
- Deliver services competently, safely, and professionally.
- Act with honesty, integrity, and respect.
- Comply with all applicable laws, regulations, and professional codes of conduct.
- Arrive on time for scheduled appointments.
- Maintain appropriate hygiene and professional appearance.
- Use only approved methods and procedures within the scope of your qualifications.
- Treat every Client with dignity and respect.
8. Scope of Practice
You must only perform services that:
- Are within your qualifications, training, and professional competence.
- Are permitted under applicable laws and regulations.
- Do not exceed the limits of your professional licence or certification.
You must not diagnose, prescribe, or perform medical procedures unless legally authorized to do so.
9. Availability
You are responsible for maintaining an accurate availability schedule on the Platform.
You may:
- Accept bookings.
- Decline bookings.
- Set availability.
- Temporarily pause your profile.
Repeated acceptance and subsequent cancellation of bookings may result in penalties or suspension.
10. Booking Acceptance
Healthcare Professionals are expected to respond to booking requests promptly.
Once a booking is accepted, you are expected to fulfill the appointment unless exceptional circumstances arise.
11. Client Safety
You agree to:
- Exercise reasonable care when providing services.
- Follow infection prevention and control measures where applicable.
- Report any serious safety concerns to Nexa Nurse promptly.
- Decline any request that is illegal, unsafe, or outside your professional competence.
12. Confidentiality
You must keep confidential all personal, medical, financial, and other sensitive information obtained through the Platform or during service delivery.
Confidential information may only be disclosed:
- With the Client’s consent;
- Where required by law; or
- To prevent imminent harm or comply with legal obligations.
Your confidentiality obligations continue even after your use of the Platform ends.
13. Payments and Earnings
For every completed booking:
- You will receive 85% of the service fee.
- Nexa Nurse retains 15% as the Platform Service Fee.
Payment gateway charges, VAT, and other applicable fees are payable by the Client unless otherwise specified.
14. Payouts
Eligible earnings are paid once every week on Friday, provided that:
- The service has been completed.
- The Client has confirmed satisfactory completion, or Nexa Nurse has resolved any dispute in your favour.
- Your account remains in good standing.
15. Instant Withdrawals
You may request an instant withdrawal of eligible earnings.
A 2.5% processing fee will be deducted from the withdrawal amount.
Nexa Nurse reserves the right to delay or refuse instant withdrawals where fraud, compliance, technical, or security concerns exist.
16. Service Confirmation and Escrow
Payments are held in escrow until the Client confirms that the booked service has been delivered satisfactorily.
If a dispute is raised, the funds will remain on hold until the matter is investigated.
17. Complaints and Disputes
Healthcare Professionals agree to cooperate fully with investigations relating to:
- Service quality.
- Professional conduct.
- Missed appointments.
- Alleged misconduct.
- Client complaints.
- Payment disputes.
Nexa Nurse aims to resolve disputes within seven (7) calendar days.
If either party disagrees with Nexa Nurse’s decision, they may pursue legal action at their own expense.
18. Ratings and Reviews
Clients may rate and review Healthcare Professionals based on their experience.
You agree not to:
- Manipulate ratings.
- Offer incentives for positive reviews.
- Submit false reviews.
- Harass Clients regarding reviews.
Nexa Nurse may remove reviews that violate its policies.
19. Professional Conduct
Healthcare Professionals must not:
- Provide false qualifications or credentials.
- Misrepresent their identity.
- Accept payments outside the Platform for bookings initiated through Nexa Nurse without prior written authorization.
- Engage in fraud, harassment, discrimination, abuse, or unethical behaviour.
- Consume alcohol or illegal drugs while providing services.
- Use offensive, threatening, or inappropriate language toward Clients.
20. Health and Fitness to Practise
You must be physically and mentally fit to perform the services you accept.
You must not provide services while impaired by illness, medication, alcohol, or any substance that could affect your judgment or performance.
21. Equipment and Supplies
Unless otherwise agreed, Healthcare Professionals are responsible for ensuring they have the equipment, tools, and supplies necessary to perform their services safely and professionally.
22. Insurance
Healthcare Professionals are encouraged to maintain appropriate professional liability and personal insurance coverage where applicable.
Nexa Nurse may require proof of insurance for certain categories of services.
23. Suspension and Termination
Nexa Nurse may suspend or terminate your account immediately if you:
- Provide false information.
- Fail verification requirements.
- Lose required professional qualifications.
- Receive repeated substantiated complaints.
- Engage in fraud, abuse, or misconduct.
- Breach this Agreement or other Nexa Nurse policies.
- Pose a risk to Clients or the Platform.
Termination does not affect accrued rights or obligations.
24. Intellectual Property
You may not use Nexa Nurse’s name, logo, trademarks, branding, or proprietary materials without prior written consent.
Any feedback or suggestions you provide may be used by Nexa Nurse without obligation to compensate you.
25. Data Protection
You must handle all personal information obtained through the Platform in accordance with applicable data protection laws and the Nexa Nurse Privacy Policy.
You must not retain, copy, disclose, or use Client information for any purpose unrelated to the booked service unless authorized by law or the Client.
26. Limitation of Liability
To the fullest extent permitted by law, Nexa Nurse shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.
27. Indemnity
You agree to indemnify and hold harmless Nexa Nurse, its directors, officers, employees, and affiliates from claims, losses, liabilities, damages, or expenses arising from:
- Your breach of this Agreement.
- Your professional negligence or misconduct.
- Your violation of applicable laws.
- Your infringement of the rights of any third party.
28. Amendments
Nexa Nurse may amend this Agreement from time to time.
Material changes will be published on the Platform with an updated effective date. Continued use of the Platform after such changes constitutes acceptance of the revised Agreement.
29. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
