1. Introduction
These Client Terms of Service (“Client Terms”) govern your use of the Nexa Nurse platform when requesting or booking healthcare services for yourself or another individual.
These Client Terms form part of the Nexa Nurse Terms and Conditions. By creating an account, making a booking, or using any service available through the Nexa Nurse website, mobile applications, or related services (collectively, the “Platform”), you agree to be legally bound by these Client Terms.
If you do not agree with these Client Terms, you must not use the Platform.
2. About Nexa Nurse
Nexa Nurse Limited (“Nexa Nurse”, “we”, “our”, or “us”) operates a healthcare technology marketplace that connects Clients with verified Registered Nurses and Care Assistants for home healthcare and related services.
Nexa Nurse provides technology, booking, payment, and support services. Except where expressly stated, Nexa Nurse does not directly provide healthcare services or employ Healthcare Professionals.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years old.
- Have the legal capacity to enter into binding agreements.
- Provide accurate and complete registration information.
- Comply with these Client Terms and all applicable laws.
If you are booking services on behalf of another person, you represent that you have the authority to do so.
4. Client Account
You are responsible for:
- Maintaining accurate account information.
- Keeping your password confidential.
- Ensuring that your contact information remains current.
- Promptly notifying Nexa Nurse of any unauthorized use of your account.
You are responsible for all activities carried out through your account.
5. Booking Healthcare Services
Clients may use the Platform to:
- Search for available Healthcare Professionals.
- Schedule appointments.
- Book home healthcare services.
- Track bookings.
- Make secure payments.
- Review completed services.
A booking is confirmed only after payment has been successfully processed and accepted through the Platform.
6. Accurate Information
You agree to provide complete and accurate information when making a booking, including:
- The patient’s name.
- Service location.
- Contact information.
- Medical needs relevant to the requested service.
- Preferred appointment date and time.
- Any known risks or special requirements.
Providing inaccurate or misleading information may result in delays, cancellation, or refusal of service.
7. Safe Service Environment
Clients are responsible for providing a safe, respectful, and appropriate environment for Healthcare Professionals.
Clients must:
- Ensure safe access to the service location.
- Remove or disclose known hazards.
- Prevent harassment, abuse, discrimination, or violence.
- Provide reasonable working conditions.
Healthcare Professionals may refuse or discontinue services if they reasonably believe their safety is at risk.
8. Medical Information
Clients should provide accurate information that may affect the delivery of healthcare services.
This includes, where applicable:
- Medical conditions.
- Allergies.
- Medications.
- Mobility limitations.
- Infectious diseases.
- Emergency contacts.
Failure to disclose relevant information may affect the quality or safety of the services provided.
9. Payments
All bookings must be paid through the Nexa Nurse Platform unless otherwise authorized by Nexa Nurse.
Clients agree to pay:
- The applicable service fee.
- Payment gateway processing charges.
- Value Added Tax (VAT) and any other applicable taxes or statutory charges.
Nexa Nurse does not encourage or authorize direct payments to Healthcare Professionals for bookings initiated through the Platform.
10. Payment Confirmation
Payments are processed through licensed third-party payment providers.
A booking is not confirmed until payment has been successfully authorized and received.
11. Escrow of Funds
Payments are held securely in escrow until the booked service has been completed.
Funds are released to the Healthcare Professional only after:
- The Client confirms satisfactory completion of the service; or
- Nexa Nurse completes an investigation and determines that the service was delivered.
12. Confirmation of Service Completion
After a scheduled service, Clients are expected to confirm whether the service was completed.
Failure to respond within a reasonable period may result in Nexa Nurse reviewing available evidence and determining whether payment should be released.
13. Disputes
If you believe a booked service:
- Was not delivered;
- Was incomplete; or
- Did not meet reasonable expectations,
you should report the issue through the Platform or contact Nexa Nurse as soon as possible.
Nexa Nurse will investigate the matter and aims to issue a decision within seven (7) calendar days.
During the investigation, the disputed payment will remain on hold.
If either party does not accept Nexa Nurse’s decision, they may pursue legal action before a court of competent jurisdiction at their own expense.
14. Cancellations
Clients may cancel bookings in accordance with the Nexa Nurse Cancellation and Refund Policy.
Repeated cancellations, abuse of the booking system, or repeated no-shows may result in account restrictions or suspension.
15. Client Responsibilities
Clients agree to:
- Treat Healthcare Professionals with dignity and respect.
- Provide accurate booking information.
- Cooperate during service delivery.
- Maintain a safe environment.
- Respect appointment times.
- Make payments through the Platform.
- Comply with applicable laws and Nexa Nurse policies.
16. Prohibited Conduct
Clients must not:
- Harass, threaten, intimidate, or abuse Healthcare Professionals.
- Discriminate on the basis of race, ethnicity, religion, gender, disability, age, or other protected characteristics.
- Request Healthcare Professionals to perform illegal or unethical acts.
- Attempt to obtain healthcare services through fraud or deception.
- Circumvent the Platform to avoid payment or platform fees.
- Submit false complaints or fraudulent payment disputes.
- Use the Platform for unlawful purposes.
Violation of these provisions may result in suspension or permanent termination of your account.
17. Emergencies
Nexa Nurse is not an emergency medical service.
If you or the patient is experiencing a medical emergency, including life-threatening illness or injury, immediately contact your local emergency services or proceed to the nearest hospital.
The Platform should not be relied upon as a substitute for emergency medical care.
18. Ratings and Reviews
Clients may submit ratings and reviews based on genuine service experiences.
Reviews must:
- Be truthful.
- Be respectful.
- Relate only to the service received.
Nexa Nurse reserves the right to remove reviews that are false, abusive, defamatory, or otherwise violate its policies.
19. Privacy
Clients acknowledge that Nexa Nurse will collect, use, store, and process personal information in accordance with the Nexa Nurse Privacy Policy.
Clients are also expected to respect the privacy and confidentiality of Healthcare Professionals.
20. Intellectual Property
All content available on the Platform, including software, text, graphics, logos, trademarks, and designs, is the property of Nexa Nurse or its licensors and is protected by applicable intellectual property laws.
Clients may not copy, reproduce, distribute, or exploit any part of the Platform without prior written consent.
21. Suspension and Termination
Nexa Nurse may suspend or terminate a Client account where the Client:
- Breaches these Client Terms or the Terms and Conditions.
- Provides false information.
- Engages in fraud or attempted fraud.
- Repeatedly violates Platform policies.
- Poses a safety risk to Healthcare Professionals or other users.
- Uses the Platform for unlawful or abusive purposes.
22. Limitation of Liability
To the fullest extent permitted by law, Nexa Nurse shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of the Platform or services arranged through it.
Nothing in these Client Terms excludes liability that cannot lawfully be excluded under applicable law.
23. Indemnification
You agree to indemnify and hold harmless Nexa Nurse, its directors, officers, employees, affiliates, and service providers from claims, liabilities, damages, losses, or expenses arising from:
- Your breach of these Client Terms.
- Your misuse of the Platform.
- Your violation of applicable laws.
- Your infringement of the rights of any third party.
24. Amendments
Nexa Nurse may update these Client Terms from time to time.
The revised version will be published on the Platform with a new “Last Updated” date. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Client Terms.
25. Governing Law
These Client Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
